End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you and Manna Technologies, LLC ("Manna Technologies," "we," "us," or "our") for access to and use of the Manna Technologies Operations Platform (the "Platform"). By accessing or using the Platform, you agree to be bound by this Agreement. If you do not agree, do not use the Platform.

1. License Grant

Subject to your compliance with this Agreement, Manna Technologies grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business operations in connection with the grocery fundraising and distribution operations managed through the Platform.

2. Authorized Users

You may permit employees, contractors, and designated campaign leaders ("Authorized Users") to access the Platform under your account. You are responsible for all activity that occurs under your Authorized Users' accounts and for ensuring they comply with this Agreement.

3. Acceptable Use

You agree not to, and not to permit others to:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
• Reverse engineer, decompile, or attempt to derive the source code of the Platform.
• Interfere with or disrupt the integrity, security, or performance of the Platform.
• Access the Platform in order to build a competitive product or service.
• Share credentials or allow unauthorized access to non-Authorized Users.

4. Data Ownership

You retain ownership of your business data, including customer orders, campaign information, and product selections, that you submit to the Platform. We use this data only to operate, maintain, and improve the Platform on your behalf. Manna Technologies retains ownership of the Platform itself and all related intellectual property.

5. Third-Party Services

The Platform integrates with third-party services that you authorize, such as Shopify, KeHE/TrueCommerce, Stripe, QuickBooks Online, and email delivery providers. Your use of those services is governed by their respective terms and privacy policies. Manna Technologies is not responsible for the availability, acts, or omissions of third-party providers.

6. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, MANNA TECHNOLOGIES DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MANNA TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Indemnification

You agree to indemnify and hold harmless Manna Technologies, its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising out of your use of the Platform, your data, or your violation of this Agreement.

9. Termination

Manna Technologies may suspend or terminate your access to the Platform at any time, with or without cause, upon notice. Upon termination, your right to use the Platform ceases immediately, and we may delete or archive your data in accordance with our data retention practices.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict of laws principles. Any disputes shall be resolved in the courts located in Denver County, Colorado.

11. Changes to This Agreement

We may update this Agreement from time to time. We will post the updated version on this page with a revised effective date. Continued use of the Platform after changes constitutes acceptance of the revised Agreement.
